Affiliate Program

1. Agreement to Terms By participating in the Odyssey & Leo Affiliate Program ("Program"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you should not participate in the Program.
 
2. Enrolment To enrol in the Program, you must complete and submit the affiliate registration form. Odyssey & Leo reserves the right to accept or reject any application at our sole discretion.
 
3. Commissions

• Commission Rate: Affiliates will earn a 5% commission on the monthly retainer value of each new client referred and secured.

• Payment Schedule: Commissions are paid when the referred client's invoice is paid.

• Additional Services: If the referred client avails additional services while under contract, the affiliate will also receive a 5% commission on the new services.

• Exclusions: If a client terminates their contract and later re-engages Odyssey & Leo without the affiliate's involvement, no commission will be paid for subsequent services.

4. Payment Terms

• ABN Requirement: Affiliates must provide a valid Australian Business Number (ABN) to receive commission payments.

• Payment Method: Commissions will be paid directly via bank transfer.

• GST: GST will be paid on the 5% commission if the affiliate is GST qualified.

5. Referral Process

• Direct Referrals: Affiliates must refer potential clients directly to Odyssey & Leo or facilitate an introduction.

• Referral Validity: Referrals are considered valid if the client signs a contract with Odyssey & Leo within 90 days of the referral.

6. Responsibilities of Affiliates

• Marketing Practices: Affiliates must adhere to ethical marketing practices and not engage in any misleading or deceptive advertising.

• Compliance: Affiliates must comply with all applicable laws and regulations, including those related to advertising and promotions.

• Employment and Self-Referrals: Affiliates cannot be employees of Odyssey & Leo or refer their own company as a referral.

7. Term and Termination

• Term: The term of this agreement begins upon acceptance into the Program and continues until terminated by either party.

• Termination: Odyssey & Leo reserves the right to terminate the affiliate relationship at any time, with or without cause. Upon termination, any unpaid commissions will be forfeited.

 
8. Limitation of Liability Odyssey & Leo will not be liable for any indirect, incidental, special, or consequential damages arising in connection with the Program or these Terms. The total liability of Odyssey & Leo will not exceed the total commission paid or payable to the affiliate under these Terms.
 
9. Confidentiality Affiliates must keep all confidential information disclosed by Odyssey & Leo, including but not limited to client information, business strategies, and financial information, strictly confidential and not disclose it to any third party.
 
10. Modifications to Terms Odyssey & Leo reserves the right to modify these Terms at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the modified Terms.
 
11. Governing Law These Terms are governed by and construed in accordance with the laws of Western Australia, without regard to its conflict of law principles.
 
12. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral.

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

• Waiver: No waiver of any breach of any provision of these Terms shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.

By participating in the Odyssey & Leo Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
